SENIOR CONTRACT ENGINEER (EPC)

Location of Service: Lagos, NIGERIA

Status of Service: Resident

Nigerian Nationals or Expatriates (Nigerians preferred)

Expected overall period of Service: Immediate to end 2015 (to be confirmed after FID)

CONTEXT AND ENVIRONEMENT

Nigerian context (Nigerian content, Nigerian laws, Authorities involvement in the “due process”, use of NipeX)

has to be taken into account.

NECESSARY PROFILE OF SERVICE HOLDERS

Contracts experience (10 years minimum) of EPSC and related Contracts in the Oil & Gas industry within a client organisation.

DIMENSIONS OF THE SERVICE

Deep offshore development located in Nigeria.

The development is located 150 km from the coast in 1550 m water depth and includes a spread moored FPSO of 240 POB, associated offloading calm buoy, 2 productions loops connecting six subsea manifold with 20 production wells and 3 injection lines connecting 20 water injection wells. A 20km gas export line ties in to the export pipeline. Production is 200 kBPD of oil, 456 kBPD of water and 4.6 Mm3/d of gas export.

The Field Development Plan was approved in March 2009 and the FID is expected in 2011.

Main activities for 2009 and 2010 were the Basic Engineering studies in Nigeria and the preparation and tender of the main contracts to be awarded in mid 2011.

The Contract Engineer is directly responsible for the successful delivery of the Contracts assigned to his responsibility including the tender, award and post award management of the contracts.

ACTIVITIES

To provide a professional contract engineering service, the SERVICE holder must pay particular attention to ensure that project procedures are strictly followed so that no contention can be raised at a later date.

The SERVICE holder shall also keep the Head of Contracts and Procurement fully appraised of all developments that may impact the successful delivery of the Contracts he is in charge of.

Where necessary, the SERVICE holder shall liaise with Contract Engineers responsible for other Package Contracts to ensure contractual interface matters are identified and appropriately managed and to assist with achieving a consistent approach across packages as far as is practicable.

In addition, the SERVICE holder shall work with other functions within the Project Services Team (e.g. planning, cost control, document management, etc) to successfully deliver the Contracts. If directed to do so by the Head of Contracts and Procurement, the SERVICE holder shall liaise with other Nigerian and Corporate based support functions (e.g.

Legal, Finance, Contracts, DARAG (insurance)).

Pre-Contract – (up to contract award)

The SERVICE holder is directly responsible for the contractual and administration aspects of the call for tender of the Contracts under his responsibility. In doing this, the SERVICE holder will be required to:

• Prepare the Call for Tender documentation and specific Tender and Tender Evaluation Procedures in line with Company procedures;• Administer the tendering process to ensure the “due process” is respected and timely progress is achieved, including preparation and issuance of communication documentation with Tenderers, organisation of tender clarification meetings, organisation of tender correspondence and filing, etc• Liaise with the relevant Engineer in Charge on technical issues to ensure that these are adequately incorporated into the tender process;• Liaise with the Project Team members who are responsible for the relationship with NAPIMS and NCDMB to ensure these authorities are kept up to date with tender progress and developments, to obtain any necessary attendance at meetings and to obtain all necessary approvals;• Validate Tenderer compliance with Bid Bond, Bank Statements, Insurance and Parent Company Guarantee requirements and the like;• Evaluate contractual proposals and assist in evaluation of technical and commercial proposals where applicable;• Assist in the preparation of the Technical Recommendation Report and the Recommendation to Award;• Prepare final contract documents and obtain signatures for execution of the contract;• Close out the Pre-contract phase (e.g. notification of unsuccessful Tenderers, storage of tender documentation and correspondence, etc).

Post-Contract – (from contract award to contract close-out)

The SERVICE holder is directly responsible for ensuring the Contracts under his responsibility are executed in accordance with the agreed contractual terms and conditions and that Company interest is protected at all times.

In doing this, the SERVICE holder will be required to:

• Provide advice to the Company representative on contractual issues, and prepare / validate all contractual correspondence;• Analyse requests for change orders, and prepare / validate change order documents where appropriate;• Ensure all contractual certificates, guarantees, bonds and insurances required under the Contract are in place and in the due time;• Prepare certificates to be issued to Contractor by Company in accordance with the contract;• Coordinate the processing of Contractor’s monthly applications for payment, and verifying invoice submissions;• Liaise with the Project Team members who are responsible for the relationship with NAPIMS and NCDMB to ensure all necessary approvals are obtained for change orders where appropriate;• Prepare contract closeout documentation in line with Company procedures.

Contracts Database

The SERVICE holder is responsible for maintaining a database which tracks existence and the evolution of the contract, change orders, certificates, approvals and the like during the life of the project for the Contracts under his responsibility.

SAP Contractual Data

The SERVICE holder is responsible for the maintenance of all contractual data necessary to be recorded in SAP for establishing commitments, their follow up and invoice payment for the Contracts under his responsibility.

ACCOUNTABILITIES

The SERVICE holder is accountable to ensure relevant procedures are followed, priorities are dealt with and documentation is of the required standard.
