The project will increase the quality, access, and uptake of specific malaria control interventions, including insecticide-treated nets (ITNs), artemisinin-based combination therapies (ACTs), expanded use of rapid diagnostic tests (RDs), and delivery of intermittent preventive treatment (IPTp) to pregnant women.</P><P><a href="about:../../company/aed/"><STRONG>AED Nigeria</STRONG></A>  is currently recruiting candidates to fill a number of exciting positions with the Malaria Action Program for States (MAPS) Project in <STRONG>Abuja </STRONG>as well as state offices in <STRONG>Zamfara, Cross River,</STRONG> and <STRONG>Nassarawa</STRONG>. Available positions include:<BR></P>The Receptionist will represent the outward face of the office to visitors and will assist with administrative and logistical assignments, including answering phones, taking messages, helping with travel coordination, and photocopying. [full-time] Company Secretary &amp; Group Head, Legal at Guaranty Trust Assurance Plc

This position reports to the Chief Client Officer <P>Overall Job Objective<BR>To perform the duties of the Company Secretary by acting in accordance with the law regarding this position and working closely with the Board and Executive Management.  Specifically, the individual will ensure that the company complies with the law on running a company in Nigeria as well as ensure compliance with good corporate governance practices in matters relating to the Board.</P><P>The successful candidate will also manage the Legal Team and have an oversight function of the Claims Group.</P><P>Key Responsibilities and Accountabilities</P><P>Company Secretary Responsibilities<BR>* Organizing, preparing agendas for, and taking minutes of board meetings and annual general meetings (AGMs)<BR>* Preparation of some of the board papers on behalf of Executive Management<BR>* Maintaining statutory books, including registers of members, directors and secretaries<BR>* Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders<BR>* Contributing to meeting discussions as and when required, and advising Board and Executive management on the legal and governance implications of proposed policies<BR>* Monitoring changes in relevant legislation and the regulatory environment, and taking appropriate action<BR>* Liaising with external regulators and advisers, such as lawyers and auditors<BR>* Developing and overseeing the systems that ensure the company complies with all applicable codes, as well as its legal and statutory requirements, especially with regards to NSE, NAICOM and SEC<BR>* Issuing share certificates and recording transfers of shares<BR>* Filing of documents at the Companies Registration Office including changes of registered office, changes of directors and/or secretary and their particulars<BR>* Ensuring that documents are filed with the Registrar of Companies within the prescribed time limits such as the company's annual and other returns<BR>* Communicating with the company's members and notifying the members of meetings of the company, details of proposed resolutions to be considered at meetings, circulating them with copies of the annual financial statements<BR>* Delivering copies of special resolutions and certain other resolutions passed by the company<BR>* Publishing statutory notices<BR>* Administering share transfers<BR>* Ensuring that the board's decisions are properly communicated<BR>* Custody of the company seal<BR>* Ensuring the company has its name in legible lettering, outside each place at which it conducts business<BR>* Ensuring that the company's letterhead bears the appropriate details </P><P>Legal Advisor<BR>* Responsible for advising the company on all business matters<BR>* Responsible for liaising with security agencies on behalf of the company and its staff<BR>* Advise company on legal disputes<BR>* Advise company on appropriate legal principles especially as it regards interpretation of insurance policies and claims adjustment<BR>* Arrange and attend pre-trial conferences<BR>* Attend court sessions on behalf of the company when necessary<BR>* Build relationships with our external solicitors.</P><P>Claims<BR>* Oversee the activities of the Claims Team<BR>* Ensure that the company’s claims administration processes comply with best practice<BR>* Ensure adherence to the approved Claims policies and procedures<BR>* Contribute to the development of policy wordings</P><P>Skills and Specifications<BR>* Should have the deep knowledge of corporate regulatory environment, company rules/laws and board practices/norms.<BR>* Must have good communication and relationship management skills.<BR>* Must be able to schedule meetings with company legal advisors and board of directors. </P><P>Education and Qualification<BR>* Must be a graduate of Law, LLM is desirable but not essential<BR>* An MBA or SMP/AMP is also desirable but not a pre-requisite<BR>* Should have ICSA Qualifications<BR>* Minimum 10 years work experience.  It is desirable for the candidate to have spent some years in the position of a Company Secretary.</P><P>Interested and qualified candidates should submit their applications online.<BR></P><P><STRONG>Industry:</STRONG> Banking / Financial Services</P><P><STRONG>Specialization:</STRONG> NGO / International / Legal</P><P><STRONG>Minimum Educational Qualification:</STRONG> MBA / MSc</P><P><STRONG>Minimum Experience Required:</STRONG> 10 Year(s)</P><P>You have to be logged in to apply for a job. <img align="absMiddle" src="/login.jpg"> or <img align="absMiddle" src="/sign20up.jpg"> </P>
